Oil giant BP buying major truck stop chain TravelCenters

Sale brings long turnaround effort to an end.

Editor’s note: This story was updated at 4 p.m. ET on Feb. 16 to include additional information.

TravelCenters of America, which operates truck stops across the country under the TA brand, is getting bought by BP America.

The price of the acquisition is approximately $1.3 billion, or $86 per share. TA stock (NASDAQ: TA) closed Wednesday at $49.44 per share.

“Today’s announcement that BP is acquiring TA for $86 per share is a result of the successful implementation of our turnaround and strategic plans,” TA’s CEO Jonathan Pertchik said in a prepared statement announcing the sale. “We have improved our core travel center business, expanded our network, launched TA to prepare for the future of alternative fuels and improved our operating and financial results, none of which we could have accomplished without the hard work and dedication of our employees at every level.”

Even before the pandemic, which pushed TA’s stock price to less than $10 per share in its early days, TA had struggled, with a stock price just above $10 per share in late 2019.

The sale will mean that all three major U.S. truck stop companies — TA, Love’s and Pilot Flying J — will be privately owned, though Pilot Flying J has a 38.6% share held by Berkshire Hathaway (NYSE: BRK.A) .

BP has established a long-term strategy that sees oil and gas exploration as declining as a percentage of the company’s operations and investment dollars. A purchase of a truck stop that is one of the biggest diesel marketers in the country might seem at odds with that strategy.

But BP also has laid out five pillars of its future growth, and a TA acquisition fits in with several of them.

The five goals going forward, according to BP, are bioenergy, electric vehicle charging, convenience, renewables and power, and hydrogen capture and storage.

In the prepared statement released by BP America regarding the acquisition, the company said buying TA “supports delivery” of meeting the convenience and EV charging goals and having a target of more than $1.5 billion in earnings before interest, taxes, depreciation and amortization in 2025. While hydrogen was not specified, the possibility of refueling hydrogen vehicles when and if they are commercially available at some point also could help meet a third goal of the five.

On a smaller scale, BP already has begun to provide for a truck-specific “corridor” in Europe with stations to recharge vehicles. The plan was announced last month for a stretch of highway in Germany.

“TA’s strategically-located network of highway sites complements BP’s existing predominantly off-highway convenience and mobility business, enabling TA and BP to offer fleets a seamless nationwide service,” the BP announcement stated.

Having TA in the BP fold will “provide options to expand and develop new mobility offers including electric vehicle charging, biofuels, renewable natural gas (RNG) and later hydrogen, both for passenger vehicles and fleets.”

Gary Bevers, a longtime fuels market consultant who heads Bevers & Co., said BP’s fuel operations had been declining in volume for several years. It hindered the company’s ability to set up operations at fuel terminals around the country owned by third parties, “because nobody wants to be in a terminal unless they can be a player. They don’t want to have 1% of the market at a terminal.”

Having TA’s more than 200 outlets as end users needing supply out of a wide range of terminals wil increase the volume it needs and can help it reestablish profitable positions at those facilities, Bevers said.

BP did not respond to FreightWaves’ questions by publication time.

BP’s statement said it had 6,000 retail outlets flying the BP brand. Trends in the retail fuels market for many years have seen major oil companies sell any company-owned outlets in favor of a branded arrangement where a retail outlet “flies” a brand such as BP or Exxon. The retail outlet is required to buy what is known as branded fuel from wholesale terminals, known in the industry as the “rack.”

It was not clear whether the TA brand will remain or be rebranded as BP.

TA has been pursuing growth through franchising in recent years, part of Pertchik’s turnaround plan. In a statement released last month, TA said in 2022 it had signed 30 new franchise agreements for TA, Petro Stopping Centers and TA Express travel centers, reaching its goal for the year. Actual openings of new franchised sites totaled three last year and are expected to be 20 this year.

The sale of TA has been looming for a considerable period of time, according to the TA statement. Its statement said the sale is the “culmination of a comprehensive process by TA’s board.” That process featured “competitive rounds of bidding from potential buyers.”

@Pedie Hi Pedie, I’m a foreigner on the road. I apologize if that’s insulting or disrespectful to you. But I want you to know that as a foreigner, I love this country just as much as you do, and I work in this country just as hard as you do, and I pay my taxes to this country just as much as you do, and I provide for our economy just as much as you do, and I would fight for this country just as much as you would.

I may look brown, or Pakistani, or Arab, or Muslim, or Iranian, or Afghani, or Chinese, or Korean, or Russian, or Ukranian, or some other minority if you see me on the road. But I assure you I don’t see you as a white American; to me, you’re just ‘an American’. I could care less that you were born here or that you have white or black skin or that you speak or don’t speak english the right way.

I want you to know Pedie, that I would hire you in my motor carrier company even though you’re not a foreigner like me. and I hope that you would do the same, because this country is made for you and me and everyone who believes in the American Dream my friend.

This is a combination BP gas station and convenience store with a Subway sandwich restaurant and a few extras for weary truckers. The restrooms were clean, the women's restroom has a fold down changing table for the convenience of those traveling with small children, and even an XLERATOR hand dryer with the drying power (and sound effects) of a small jet engine. There are also showers available to truckers driving a long haul. There was a better than average selection of energy drinks in the refrigerated case, and the soda fountain boasts a number of diet options including Diet Pepsi, Diet Coke, Diet Come Zero, Diet Dr. Pepper, and Diet Mountain Dew. There are several coffee options including a premium and dark roast as well as decaf. If you're hungry, there are a number of snack options including candy, chips, and donuts. If you want to keep it healthy, or want a real meal, there is a Subway sandwich shop inside, also. The cashier was friendly and chatty with the truckers and the car drivers alike. bp leans into convenience and mobility across US, agrees to purchase leading travel center operator, TravelCenters of America

  • Adds a network of around 280 travel centers, strategically-located on major highways across US; complementing bp’s US convenience and mobility business.
  • $1.3bn cash acquisition within bp’s $16-18bn frame, with acquisition multiple of around six times based on last 12 months’ TravelCenters EBITDA (4Q21-3Q22) i
  • Adds EBITDA immediately, expected to grow to around $800m by 2025, underpinned by investment, integration value and synergies
  • Expected to deliver over 15% returns and be accretive to free cash flow per share from 2024.
  • Almost doubles bp’s global convenience gross margin.
  • Brings growth opportunities for 4 of bp’s 5 transition growth engines including convenience, EV charging, biofuels/renewable natural gas (RNG) and, later, hydrogen.

HOUSTON – BP Products North America Inc., a wholly-owned indirect subsidiary of BP p.l.c. (NYSE: bp) has reached an agreement to purchase TravelCenters of America (Nasdaq: TA), one of the country’s leading full-service travel center operators. The acquisition, which is subject to regulatory and TravelCenters of America shareholder approval, will be for $1.3 billion in cash.

TA’s strategically-located network of highway sites complements bp’s existing predominantly off-highway convenience and mobility business, enabling TA and bp to offer fleets a seamless nationwide service. In addition, bp’s global scale and reach will, over time, bring advantages in fuel and biofuel supply as well as convenience offers for consumers. It will provide options to expand and develop new mobility offers including electric vehicle (EV) charging, biofuels, renewable natural gas (RNG) and later hydrogen, both for passenger vehicles and fleets.

Map of the TravelCenters of America locations

Convenience is one of bp’s five strategic transition growth engines in which it aims to significantly grow investment through this decade. By 2030, bp aims for around half its annual investment to go into these transition growth engines. Over 2023-2030 it aims that around half of its cumulative $55-65 billion transition growth engine investment will go into convenience, bioenergy and EV charging.

Bernard Looney, CEO bp, said: “This is bp’s strategy in action. We are doing exactly what we said we would, leaning into our transition growth engines. This deal will grow our convenience and mobility footprint across the US and grow earnings with attractive returns. Over time, it will allow us to advance four of our five strategic transition growth engines. By enabling growth in EV charging, biofuels and RNG and later hydrogen, we can help our customers decarbonize their fleets. It’s a compelling combination.”

“This is bp’s strategy in action. We are doing exactly what we said we would, leaning into our transition growth engines. This deal will grow our convenience and mobility footprint across the US and grow earnings with attractive returns.”

Bernard looney, chief executive officer.

The acquisition is expected to bring around 280 TravelCenters of America sites, spanning 44 US states nationwide, into the bp portfolio. These travel centers, which average around 25 acres, offer a full range of facilities for vehicles and fleet trucks, including more than 600 full-service and quick service restaurants, as well as truck maintenance and repair services. Around 70% of TA’s total gross margin is generated by its convenience services business, almost double bp’s global convenience gross margin.

Dave Lawler, chairman and president of bp America: “Subject to approvals, we look forward to welcoming the TA team to bp. TA's amazing nationwide network of on-highway locations combined with bp's more than 8,000 off-highway locations have the potential to offer travelers and professional drivers a seamless experience for decades to come.”

bp yesterday announced plans to invest $1bn in EV charging across the US by 2030.

As part of the transaction, TA will enter into amended lease agreements with Service Properties Trust (NASDAQ: SVC), establishing long-term real estate access. bp looks forward to continuing TA’s existing strong relationship with SVC.

The acquisition price of $1.3 billion, or $86 per share, represents a multiple of around 6 times based on last twelve months’ TA EBITDA (4Q21 to 3Q22) i . It is expected to add EBITDA for bp immediately, growing to around $800 million in 2025.

It supports delivery of bp’s convenience and EV charging growth engine target of more than $1.5bn EBITDA in 2025 and aim for more than $4bn in 2030. bp expects the acquisition to be accretive to free cash flow per share from 2024 and to deliver a return of over 15%.

  • Goldman Sachs & Co. LLC is acting as lead financial adviser to bp, Robey Warshaw LLP is acting as financial adviser to bp, and Sullivan & Cromwell LLP is acting as lead legal adviser to bp.
  • Bernard Looney, chief financial officer Murray Auchincloss and EVP, customers & products Emma Delaney will host a webcast presentation to discuss this agreement today, 16 February 2023, at 1600GMT/1100EST.

5 facts about presidential travel abroad

American presidents and other world leaders frequently travel internationally, most commonly for conferences and bilateral meetings. This face-to-face diplomacy can offer insights into political priorities, partnerships and tensions, as well as key international issues.

The COVID-19 pandemic disrupted international travel in 2020 and 2021, but diplomatic travel picked up significantly in 2022. Here are five facts about presidential travel abroad:

Pew Research Center conducted this analysis to examine the international travel history of recent U.S. presidents and other heads of government through Jan. 20, 2023.

Dates and destinations of U.S. presidential travel prior to 2021 are from the U.S. Department of State’s Office of the Historian, which has recorded international presidential travel since 1901. Travel data for 2021 and 2022 was compiled from White House press briefings. Information on visits to Ukraine by other world leaders were independently verified through official government websites.

Only trips where the head of government met face-to-face with another head of government are included. For example, Biden’s trip to the UK for Queen Elizabeth II’s funeral is excluded as Biden did not hold any diplomatic meetings with the British prime minister or other world leaders. Visiting leaders were only counted if they were the head of government at the time of their visit. Depending on the country’s political system, “head of government” could mean president or prime minister, but not both. Heads of state, monarchs and interim leaders are excluded from the visiting leaders count.

U.S. President Joe Biden has traveled internationally less frequently than his last two predecessors did. Biden traveled to 17 places outside the United States in his first two years in office, visiting some more than once. He made six international trips in 2021, all of them to Europe. In 2022, he made 12 trips, including to Europe, the Asia-Pacific region and the Middle East. And in early 2023, Biden traveled to Mexico for the North American Leaders’ Summit.

A table showing the destination and reason for Biden's international travel, two years into his presidency.

All told, Biden’s international visit count trails those of former Presidents Donald Trump, who made 23 international trips to 20 places during his first two years in office, and Barack Obama, who made 32 trips to 24 places in the first two years of his presidency.

Biden’s first presidential trip abroad was to the United Kingdom, while Trump’s was to Saudi Arabia and Obama’s was to Canada. A president’s first trip is often used to signal the importance of a strategic alliance. On his trip to the UK in June 2021, Biden reaffirmed the U.S.-UK partnership and committed to close cooperation throughout his presidency. Typically, U.S. presidents visit a close ally on their inaugural trip: Canada was the first international destination for both Obama and Bill Clinton, while Mexico was the first destination for George W. Bush.

U.S. presidents have visited the UK the most in the past decade – a total of eight times. American presidents have worked closely with their British counterparts over the past decade, cooperating on issues from defense and counterterrorism to climate policy . Travel to the UK has largely centered around conferences and summits, but in 2019, Trump made a ceremonial state visit to the UK .

A world map showing that U.S. presidents have visited the UK the most in the past decade - eight times in all.

In the past decade of presidential travel, Belgium (home to NATO headquarters ), France, Germany and Japan are the second-most visited destinations, at six times each.

So far, Biden has made the most trips to the UK and Belgium – two each. (Biden’s additional visit to the UK to attend the funeral of Queen Elizabeth II is not included in this count, since he did not hold any diplomatic appointments.) Just as these two European allies stand out in Biden’s presidential travel thus far, France stands out in Trump’s administration and Germany stands out in Obama’s – they visited those respective countries four times while in office.

Biden is among 38 heads of government who have visited Ukraine since the beginning of the war there. Biden traveled to Kyiv as part of a surprise trip in February, days before the first anniversary of Russia’s invasion .

While many heads of government visiting Ukraine have come from neighboring countries or countries in Europe (such as Poland’s prime minister, who has visited five times since the beginning of the war) that is not always the case. For example, Guatemala’s President Alejandro Giammattei and Guinea-Bissau’s President Umaro Sissoco Embaló traveled to Ukraine in July 2022 and October 2022, respectively.

Biden hosted 28 heads of government at the White House as of the end of 2022. Foreign leaders come to the U.S. for events including conferences, summits and bilateral meetings. Among those to visit the White House in 2021 and 2022 were then-Prime Minister Magdalena Andersson of Sweden, who met with Biden to submit her country’s application for NATO membership ; Ukrainian President Volodymyr Zelenskyy, who traveled to the White House on his first known wartime trip abroad ; and French President Emmanuel Macron, whose trip marked the first state visit of Biden’s presidency . In fact, the president of France has been the first leader to make a state visit to the U.S. for the past three presidential terms, with Macron visiting Trump in April 2018 and his predecessor, François Hollande, visiting Obama in February 2014. In April 2023, Biden hosted the second state visit of his administration , meeting with South Korean President Yoon Suk Yeol.
