Regulatory review of the WestJet Group’s acquisition of Sunwing moves to next stage

The WestJet Group today issued a statement following the release of the Competition Bureau’s advisory report on the company’s proposed acquisition of Sunwing Vacations and Sunwing Airlines, and the Canadian Transportation Agency’s positive determination.

“We thank the Competition Bureau and welcome their report,” said Angela Avery, WestJet Group Executive Vice-President and Chief People, Corporate and Sustainability Officer. “We look forward to bringing this transaction to life for the benefit of Canadian travellers, communities and employees.”

The Bureau’s report is advisory and non-binding but will support the Minister of Transport’s public interest assessment. The final decision, made by the Cabinet on the Minister of Transport’s recommendation, will consider additional factors presented in the WestJet Group’s application, including the preservation of Sunwing’s brand, the commitment to maintain Sunwing’s Toronto and Montreal offices, new flying that will be created by retaining Sunwing’s aircraft in Canada year-round and the resulting new employment opportunities.

Separately, the Canadian Transportation Agency has issued its positive determination of the proposed transaction. WestJet thanks the Agency for its review. With the publication of the Bureau’s report and the issuance of the Agency’s determination, the transaction’s regulatory review process moves into its next stage.

The WestJet Group announced its intent to acquire Sunwing on March 2, 2022. The transaction is a central piece to the WestJet Group’s commitment to prioritize leisure and sun travel from coast to coast and increase affordable air and vacation package offerings for all Canadians.

The transaction is expected to close by spring 2023 pending remaining regulatory and government approvals.

CALGARY, AB, May 1, 2023 / – The WestJet Group today announced that it has completed its acquisition of Sunwing Vacations and Sunwing Airlines. The transaction, originally announced in March 2022, combines the two Canadian aviation and leisure travel success stories, and will bring greater choice, competitive airfares and increased direct access to sun destinations to Canadian travellers. In addition, it positions Sunwing to continue its growth across Canada and permits the newly merged company to protect jobs.

Initially, the airlines will continue independent operations, maintaining a sharp focus on providing an exceptional guest experience and ensuring safe operations. As the two entities transition from competitors to collaborators, the combination of these businesses will be planned in a way that positions Sunwing as an instrumental pillar of the WestJet Group, and prioritizes the experience of a growing number of guests.

The two carriers will merge but maintain independent operations.

Earlier today, the WestJet Group announced the acquisition of Sunwing Vacations, Canada's largest vacation tour operator, and Sunwing Airlines. The deal was initially announced in March 2022, but was not finalized until today.

Finally merging

WestJet is one of Canada's largest airlines, offering over 100 destinations in its network. Recently, it acquired Sunwing Airlines and its sister company Sunwing Vacations, further expanding its reach. Despite facing opposition from Canada's Competition Bureau , the merger was ultimately approved after being announced fourteen months ago.

The two airlines will continue independent operations but will collaborate to combine complementary strategies for a gradual and effective transition. WestJet stated that its top two priorities are to continue providing an exceptional guest experience and maintain safe operations.

Stephen Hunter was appointed CEO of the WestJet Group's Vacations Business as one of the initial actions taken after the merger. This new leadership role will oversee both Sunwing's and WestJet's vacation brands, which will operate from a joint headquarters in Toronto, and another office in Montreal. Before approving the merger, the Canadian government required WestJet to agree to keep Sunwing's Montreal office open. This way, the jobs of everyone working in Montreal would be saved.

Though airline operations will remain separate, the merger gives WestJet a combined total of 182 aircraft, 159 from its mainline fleet, WestJet Encore, and 18 Sunwing aircraft. WestJet currently operates a total of 41 Boeing 737-700, 24 Boeing 737 MAX 8 , three Boeing 737-800 (BCF), seven Boeing 787-9, and 47 DHC-8-Q400s.

WestJet announced it is adding 18 737s, but according to ch-aviation, Sunwing has 40 Boeing 737 aircraft, split between 16 MAX 8s and 24 737-800s. What will be done with the additional aircraft in Sunwing's fleet is unclear. In the future, if WestJet decides to merge fleets and personnel, it will be a smoother process since both airlines already operate Boeing 737s, resulting in lower costs.

WestJet to shut down Sunwing Airlines, merge it with mainline business

WestJet is planning to wind down Sunwing Airlines, integrating the low-cost carrier into its mainline business within two years as part of a plan to streamline operations.

In an internal memo obtained by The Canadian Press, Sunwing Airlines president Len Corrado said the change will open up markets for the 18-year-old company as well as its workers. CBC has not independently verified that memo. 

In a statement sent to CBC News, the Calgary-based carrier verified the move.

"While we can confirm the eventual integration of Sunwing Airlines into WestJet, the anticipated timeline to do so has not been determined at this time," Julia Kaiser, spokesperson for WestJet, said in an email. 

"Our immediate focus remains on the integration of Swoop's highly successful business model across WestJet's operations."

The decision comes the week after WestJet opted to fold budget subsidiary Swoop's operations under its flagship banner.

"WestJet will eventually move to a one jet aircraft operating certificate (AOC) model and Sunwing Airlines will be integrated into WestJet," Corrado said in the memo, dated Wednesday.

He said he expects that the integration could take up to a couple of years.

Both moves magnify the major consolidation of the Canadian aviation market that followed WestJet's acquisition of Sunwing's main airline and vacation divisions last month.

The memo gave no indication that Sunwing Vacations would also shut down, suggesting that WestJet planes could be flying Sunwing tour package customers to their sun-soaked getaways.

"The WestJet Group remains committed to growing sun flying in the East alongside expansion plans in Western Canada, and this strategy will only be strengthened as we ultimately transition to a one jet AOC," Corrado wrote.

Sunwing did not immediately respond to requests for comment on Saturday.

In the statement, Kaiser confirmed that Sunwing Vacations will continue to operate as part of the WestJet Group and will not be impacted by the airline integration.

WestJet announced on June 9 it would merge Swoop with its main business by late October as the country's second-biggest airline recalibrates amid a fiercely competitive market.

The shift came five years after Swoop first surfaced as a response to discount rival Flair Airlines' launch in 2017.

It also landed after pilots with WestJet and Swoop ratified a new collective agreement that brings them onto a level pay scale, giving them a 24 per cent pay bump over four years.

In an interview last week, WestJet CEO Alexis von Hoensbroech said he mulled keeping Swoop separate, but concluded higher wages for its flight crews made the option less feasible.

In March, the federal government approved WestJet's takeover of Sunwing Vacations and Sunwing Airlines, despite a warning from the Competition Bureau that the purchase would likely result in higher prices and decreased services, especially around package deals.

In signing off on the deal, Ottawa attached conditions that include extending Sunwing packages to five new cities, maintaining capacity on the most affected routes and keeping both a vacations business head office in Toronto and a regional one in Montreal for at least five years.

The agreement added some 2,000 employees and 18 Boeing 737s to WestJet's 130-aircraft fleet, made up entirely of Boeing planes, according to the federal aircraft registry. 

This includes Swoop's planes but not those of regional service WestJet Encore.

WestJet Group Acquires Sunwing Airlines

A year ago, WestJet announced its plans to acquire Sunwing Vacations and Sunwing Airlines. Since then, the deal has been going through regulatory approval processes, as well as an assessment from the Competition Bureau.

In March 2023, the Government of Canada approved WestJet’s acquisition of the Sunwing Group along with a laundry list of terms and conditions. The deal has now closed, and today, WestJet announced that it has completed its acquisition of Sunwing Airlines and Sunwing Vacations.

WestJet Acquires Sunwing

On March 10, 2023, the federal government gave its support to WestJet for acquiring Sunwing Airlines and Sunwing Vacations. The support came with a number of conditions for WestJet to fulfill before the deal could become finalized, which has now taken place.

Following the global pandemic, WestJet’s acquisition of Sunwing represents consolidation in the Canadian travel industry as it recovers from the impacts of the past three years.

WestJet, which also owns the ultra-low-cost carrier Swoop Airlines, intends to offer further competitive airfares and affordable vacation packages with its acquisition Sunwing, challenging Air Canada’s dominant position in the market.

Currently, Sunwing Airlines offers flights from Canada to warm-weather destinations including the US, Mexico, the Caribbean, and Central America, as well as domestic routes at various points throughout the year.

Now, with the acquisition by WestJet, Sunwing’s otherwise seasonal aircraft can be operated year-round within Canada, achieving greater operational efficiencies with WestJet’s existing fleet and network. 

Together, WestJet and Sunwing account for about 37% of non-stop capacity between Canada and Sun destinations. From Western Canada, they account for 72% of non-stop capacity to Sun destinations.

It’s worth noting that Air Canada had previously announced its intention to buy leisure-oriented airline Air Transat in June 2019, but eventually scrapped the deal due to difficulty with regulatory approvals from the European Commission. Unlike the Air Canada/Air Transat deal, the WestJet/Sunwing merger wasn’t subject to regulatory approval outside of Canada. 

Conditions Placed on Sunwing Acquisition

Recall that both WestJet and Sunwing have faced a number of operational challenges in the recent past that left many travellers stranded away from home or with cancelled itineraries for flights that no longer operate to their home city or province.

Many passengers were also frustrated by a lack of communication from the airlines when travel plans were affected, often being left to fend for themselves. 

It appears that some of the conditions placed on this acquisition are meant to address these issues, even as the federal government has promised to bolster Canada’s Air Passenger Protection Regulations .

Some highlights of the conditions placed on WestJet’s acquisition of Sunwing and Sunwing Vacations are as follows:

  • Sunwing must extend vacation package offerings to five new Canadian cities
  • Capacity must be maintained on routes most affected by the merger
  • Regional connectivity must increase
  • Baggage handling must be improved for a better passenger experience
  • Sunwing must invest in IT technology solutions to improve their communications

In the recent past, WestJet has been concentrating its efforts in Western Canada while moving away from Eastern Canada. Additionally, Sunwing cancelled service from Saskatchewan for a period of time, leaving many passengers without a sunny holiday during the winter months.

The conditions placed on the deal will hopefully remediate many of the issues that have affected passengers in the past, although it remains to be seen if the overall passenger experience will indeed be improved.

Other conditions placed on the deal include Sunwing maintaining offices in Toronto and Montreal for at least five years, supplying airfare data on vacation packages to monitor post-acquisition price trends, and eventually ending Sunwing’s seasonal leasing practice to protect Canadian jobs.

It’s also worth noting that the Competition Bureau had expressed concerns about this acquisition back in Fall 2022, stating that it will likely result in increased prices, reduced choice, decreased services, and a significant reduction in leisure travel in the overlap markets.

Only time will tell if the Bureau’s concerns are substantiated, but with the acquisition now complete, hopefully the concerns will have been properly addressed. 

What Could This Mean for WestJet Rewards?

While we’ll have to wait to see the eventual implications from a travel cost and loyalty perspective, it’s worth thinking about what the Sunwing deal could signal about the future intentions of Canada’s second-largest airline.

If the deal goes through, we could potentially see WestJet Rewards and WestJet Dollars becoming redeemable on Sunwing flights and Sunwing Vacations in the future. This would open up some new destinations that WestJet Dollars can be used to book, as Sunwing has more flights to Sun destinations than any other leisure carrier.

Indeed, with many changes since the airline’s acquisition by Onex in 2019, the WestJet Rewards program has already been moving in the direction of offering greater mass appeal with minimal weight behind the program, rather than necessarily high-value rewards.

The integration of Sunwing, a low-cost leisure airline, would only be a further step in that direction – one that’s diametrically opposite to the more full-service path that WestJet had appeared to be interested in following a few years ago with their acquisition of Boeing 787 Dreamliners , expanded route network, and elevated onboard and lounge offerings. 

One thing’s for sure: the combined group of airlines would be well-positioned to compete on even more fronts against Air Canada, especially as leisure travel is still poised to take a greater share of the market in the coming years. 

However, WestJet’s absorption of a competitor in the market represents a major consolidation at the industry level, so while WestJet and Sunwing may be keen to play up their mutual low-cost angle on the public relations front, only time will tell whether the competitive airfares and affordable vacation packages do in fact materialize. 

With young upstarts like Flair Airlines, Lynx Air , and Canada Jetlines set to keep the bigger players on their toes, we’ll have to wait and see how things play out following the takeover’s completion to assess the overall impact on the Canadian airfare and loyalty landscape.

WestJet has acquired Sunwing Airlines and Sunwing Vacations, representing a consolidation of Canada’s second- and fifth-largest airlines.

With its acquisition of Sunwing, WestJet appears to be continuing down to the road of re-embracing its low-cost origins rather than moving upmarket towards a more premium identity.

Overall, this news is an example of the major shifts in aviation that were always an inevitable consequence of the global pandemic, with Canada’s industry set to take on a much-transformed appearance as we continue forth in a world without pandemic-related barriers.

Victor M. Mukhin was born in 1946 in the town of Orsk, Russia. In 1970 he graduated the Technological Institute in Leningrad. Victor M. Mukhin was directed to work to the scientific-industrial organization "Neorganika" (Elektrostal, Moscow region) where he is working during 47 years, at present as the head of the laboratory of carbon sorbents.     Victor M. Mukhin defended a Ph. D. thesis and a doctoral thesis at the Mendeleev University of Chemical Technology of Russia (in 1979 and 1997 accordingly). Touring the Top 10 Moscow Metro Stations

Komsomolskaya metro station looks like a museum. It has vaulted ceilings and baroque decor.

Hidden underground, in the heart of Moscow, are historical and architectural treasures of Russia. These are Soviet-era creations – the metro stations of Moscow.

Our guide Maria introduced these elaborate metro stations as “the palaces for the people.” Built between 1937 and 1955, each station holds its own history and stories. Stalin had the idea of building beautiful underground spaces that the masses could enjoy. They would look like museums, art centers, concert halls, palaces and churches. Each would have a different theme. None would be alike.

The two-hour private tour was with a former Intourist tour guide named Maria. Maria lived in Moscow all her life and through the communist era of 60s to 90s. She has been a tour guide for more than 30 years. Being in her 60s, she moved rather quickly for her age. We traveled and crammed with Maria and other Muscovites on the metro to visit 10 different metro stations.

To Maria, every street, metro and building told a story. I couldn’t keep up with her stories. I don’t remember most of what she said because I was just thrilled being in Moscow.   Added to that, she spilled out so many Russian words and names, which to one who can’t read Cyrillic, sounded so foreign and could be easily forgotten.

The metro tour was the first part of our all day tour of Moscow with Maria. Here are the stations we visited:

1. Komsomolskaya Metro Station  is the most beautiful of them all. Painted yellow and decorated with chandeliers, gold leaves and semi precious stones, the station looks like a stately museum. And possibly decorated like a palace. I saw Komsomolskaya first, before the rest of the stations upon arrival in Moscow by train from St. Petersburg.

2. Revolution Square Metro Station (Ploshchad Revolyutsii) has marble arches and 72 bronze sculptures designed by Alexey Dushkin. The marble arches are flanked by the bronze sculptures. If you look closely you will see passersby touching the bronze dog's nose. Legend has it that good luck comes to those who touch the dog's nose.

3. Arbatskaya Metro Station served as a shelter during the Soviet-era. It is one of the largest and the deepest metro stations in Moscow.

4. Biblioteka Imeni Lenina Metro Station was built in 1935 and named after the Russian State Library. It is located near the library and has a big mosaic portrait of Lenin and yellow ceramic tiles on the track walls.

5. Kievskaya Metro Station was one of the first to be completed in Moscow. Named after the capital city of Ukraine by Kiev-born, Nikita Khruschev, Stalin's successor.

6. Novoslobodskaya Metro Station  was built in 1952. It has 32 stained glass murals with brass borders.

7. Kurskaya Metro Station was one of the first few to be built in Moscow in 1938. It has ceiling panels and artwork showing Soviet leadership, Soviet lifestyle and political power. It has a dome with patriotic slogans decorated with red stars representing the Soviet's World War II Hall of Fame. Kurskaya Metro Station is a must-visit station in Moscow.

8. Mayakovskaya Metro Station built in 1938. It was named after Russian poet Vladmir Mayakovsky. This is one of the most beautiful metro stations in the world with 34 mosaics painted by Alexander Deyneka.

9. Belorusskaya Metro Station is named after the people of Belarus. In the picture below, there are statues of 3 members of the Partisan Resistance in Belarus during World War II. The statues were sculpted by Sergei Orlov, S. Rabinovich and I. Slonim.

10. Teatralnaya Metro Station (Theatre Metro Station) is located near the Bolshoi Theatre.
